Purpose

The purpose of this Terms and Conditions Policy is to establish the rules, obligations, rights, and responsibilities governing the access to and use of services provided by ITB Gulf FZCO (“ITB”). This policy aims to protect the interests of ITB and its customers, ensure compliance with applicable laws and regulations, and define the conditions under which users may access and utilize ITB’s software solutions, websites, mobile applications, and related services.

Scope

This policy applies to:

  • All customers, users, subscribers, and visitors accessing or using ITB’s services.
  • All cloud-based software applications, websites, mobile applications, integrations, and related services provided by ITB.
  • All employees, contractors, partners, and third parties involved in the provision, administration, support, or management of ITB services.

1.    Acceptance of Terms

These Terms and Conditions govern the use of services provided by ITB, including its software applications, websites, mobile applications, and related services.

By accessing or using the Service, users acknowledge that they have read, understood, and agreed to these Terms and Conditions.

2.      Eligibility

Users must:

  • Be at least eighteen (18) years old.
  • Have the legal capacity to enter into binding agreements.
  • Comply with all applicable laws and regulations.

Where a user accesses the Service on behalf of an organization, the user represents and warrants that they have the authority to bind such organization to these Terms and Conditions.

3.      Account Registration and Security

Users may be required to create an account to access certain services.

Users agree to:

  • Provide accurate, complete, and current information.
  • Maintain the confidentiality of account credentials.
  • Notify ITB immediately of any unauthorized use of their account.
  • Accept responsibility for all activities conducted under their account.

ITB reserves the right to suspend or terminate accounts containing false, inaccurate, or misleading information.

4.      Subscription Plans and Fees

Certain services may require payment of subscription or licensing fees.

Users agree that:

  • Fees shall be charged according to the selected subscription plan.
  • Fees are non-refundable unless otherwise required by law or agreed in writing.
  • ITB may revise pricing with reasonable prior notice.
  • Failure to pay applicable fees may result in suspension or termination of service.

Any applicable taxes, duties, or governmental charges shall be borne by the customer unless otherwise specified.

5.    Acceptable Use of the Service

Users shall use the Service only for lawful and authorized purposes.

Users shall not:

  • Use the Service in violation of any applicable law.
  • Attempt unauthorized access to ITB systems or networks.
  • Upload, distribute, or transmit malicious software or harmful code.
  • Interfere with the security, integrity, or availability of the Service.
  • Copy, modify, reverse engineer, decompile, or resell the Service without prior written authorization.

6.      Customer Data

Users retain ownership of all information and data uploaded, entered, stored, or processed through the Service, including but not limited to:

  • Product information;
  • Inventory records;
  • Customer information;
  • Sales transactions; and
  • Business operational data.

ITB is granted a limited license to process, store, and transmit such data solely for the purpose of providing, maintaining, and supporting the Service.

7.      Third-Party Integrations

The Service may integrate with third-party platforms and applications, including but not limited to Facebook, Instagram, and WhatsApp Business.

By enabling such integrations, users acknowledge that:

  • ITB may access information authorized by the user through connected accounts.
  • Users remain responsible for complying with third-party terms and policies.
  • Third-party services may change independently of ITB.

ITB shall not be responsible for service interruptions, limitations, or failures caused by third-party providers.

8.      Data Security

ITB implements reasonable administrative, technical, and organizational safeguards to protect customer information from unauthorized access, disclosure, alteration, or destruction.

While ITB strives to maintain robust security controls, no system can guarantee absolute security.

9.      Service Availability 

ITB endeavors to maintain continuous availability of its services but does not guarantee uninterrupted access.

ITB may:

  • Conduct scheduled or emergency maintenance;
  • Update, improve, or modify service functionality;
  • Restrict access for security or compliance purposes; and
  • Temporarily suspend services due to technical issues or force majeure events.

10.      Data Backup and Recovery

Users are encouraged to maintain independent backups of critical business information.

ITB shall not be liable for losses resulting from:

  • Data corruption;
  • Accidental deletion;
  • System failures;
  • Cybersecurity incidents;
  • Third-party service disruptions; or
  • Events beyond ITB’s reasonable control.

11.    Intellectual Property Rights

All intellectual property rights associated with the Service, including software, source code, trademarks, logos, designs, content, and documentation, remain the exclusive property of ITB or its licensors.

No rights are granted except those expressly provided under these Terms and Conditions.

12.    Suspension and Termination

ITB may suspend or terminate access to the Service if:

  • These Terms and Conditions are violated;
  • Fraudulent or unlawful activity is detected;
  • Payment obligations are not fulfilled; or
  • Continued access poses security, legal, or operational risks.

Users may terminate their account at any time by contacting ITB or utilizing available account settings.

13.    Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by law, ITB disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement; and
  • Continuous availability.

14.    Limitation of Liability

To the maximum extent permitted by law, ITB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of goodwill; and
  • Loss of data.

15.    Indemnification

Users agree to indemnify, defend, and hold harmless ITB, its employees, officers, directors, affiliates, and agents from any claims, damages, liabilities, losses, and expenses arising from:

  • Use of the Service;
  • Violation of these Terms and Conditions;
  • Violation of applicable laws; or
  • Infringement of third-party rights.

16.    Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Dubai International Financial Center (DIFC). Any dispute arising out of, or in connection with, this Agreement shall be exclusively brought before, and settled by, the competent courts of Dubai International Financial Center (DIFC) without prejudice to the Company’s rights to proceed against the Interested Party in any jurisdiction in which it resides or carries on business.

17.  Changes to This Policy

ITB reserves the right to amend this policy from time to time.

Any updates shall be published through appropriate channels and shall become effective on the stated effective date.

Continued use of the Service following publication of revised terms constitutes acceptance of the changes.
